AVERUS advises SETNA on strategic acquisition of J&C Aero

We are proud to have acted as Lithuanian legal counsel to SETNA on its acquisition of a majority stake in J&C Aero – a landmark cross-border M&A transaction in the Lithuanian aerospace sector.

J&C Aero is a leading European aviation services company specializing in aircraft cabin modifications, maintenance, engineering, and production for Airbus, Boeing, ATR, Embraer, and other aircraft platforms. With its EASA-certified design, production, and maintenance capabilities, the company serves customers across Europe, North America, and the Middle East.

For SETNA, a U.S.-based global aviation platform specializing in aircraft parts, asset leasing, repair services, and aviation solutions, the acquisition is a strategic step that significantly expands its industrial capabilities and creates a truly integrated aviation aftermarket platform with global reach.

From a legal perspective, the transaction was particularly sophisticated, combining a complex cross-border M&A process with an extensive pre-sale restructuring of the target group, while coordinating advisors across multiple jurisdictions.
